Global TradeX (GTX) - Terms of Service
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE GTX PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS, INCLUDING ANY POLICIES INCORPORATED BY REFERENCE, SUCH AS CUSTOMER SELF-DECLARATION IN SECTION 3 AND THE COMPREHENSIVE RISK DISCLOSURE INSECTION 11. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.
1. Introduction
Welcome to Global TradeX, a proprietary platform developed and operated by iWave Advanced Research Group, Inc (the "Platform," hereafter referred to as "GTX"). These Terms of Service ("Terms") constitute a legally binding legal agreement between you ("User," "you," or "your") and iWave Advanced Research Group, Inc. ("we," "us," or "our") governing your access to and use of our websites, mobile applications, and any other products or services offered by GTX (collectively, the "Services").
The GTX Platform enables eligible users to acquire, hold, and stake digital assets ("Digital Assets") representing underlying real-world assets ("RWAs") through various funding mechanisms, using USDC, USDT, and / or bank transfers. The Platform also lists investment opportunities in various projects ("Listed Projects") and facilitates the identification and potential locking of specific Digital Assets that may qualify for the Philippines Special Investor's Resident Visa ("FIV") program. GTX serves as a technology facilitator and is not a financial advisor, investment intermediary, or government representative.
2. Eligibility and Account Registration
Eligibility: To use the Platform, you must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the full legal capacity to enter into binding contracts. You represent and warrant that you are not located in, or a national or resident of, any jurisdiction where access or use of the Platform is prohibited by law.
KYC Compliance: Full access to the Platform’s features, including staking and investing, requires the successful completion of our Know Your Customer (KYC) and identity verification process. You agree to provide accurate, current, and complete information and to update this information as necessary to maintain its accuracy. GTX reserves the absolute right to refuse, suspend, or terminate any account based on our KYC process, risk assessment, or any suspected violation of these Terms.
3. Customer Self-Declaration
By creating an account, providing your information, and clicking "Agree" (or a similar affirmation), you are making the following legally binding declarations. You represent, warrant, and confirm that:
All information you have given is truthful, accurate, complete, and submitted in accordance with all applicable laws and regulations.
You are not a Politically Exposed Person (PEP), nor are you an immediate family member or close associate of a PEP.
You are not subject to any economic, trade, or financial sanctions administered by any governmental authority, including but not limited to the United Nations, United States, European Union, United Kingdom, or the Republic of the Philippines.
You will not use the GTX Platform for any illegal or unauthorized purpose, including but not limited to fraud, money laundering, terrorist financing, or sanction evasion;
You are acting solely on your own behalf and for your own account, and not as an agent, nominee, or on behalf of any third party.
You understand that making false statements, providing misleading information, misrepresentation, or engaging in any prohibited conduct may result in the immediate suspension or permanent termination of your account, the freezing of your funds, forfeiture of assets, and possible referral to the appropriate regulatory or law enforcement authorities.
These declarations are a condition precedent to your use of the Platform.
4. Description of Services
Digital Asset Acquisition: The Platform allows verified Users to use USDC, USDT, or bank transfer to acquire Digital Assets.
Staking: Verified Users may participate in staking programs, committing their Digital Assets according to the specific rules and potential reward structures of each program.
Listed Projects: The Platform lists third-party investment opportunities. GTX is not a party to any agreement between you and project issuers and does not guarantee or endorse any such projects. .
Philippines FIV Assets: GTX may identify certain Digital Assets designated as potentially qualifying investments for the FIV program. The Platform may offer functionality to "lock" these assets for your FIV application.
5. User Accounts and Security
You are solely responsible for maintaining the security and confidentiality of your account credentials, including your password and any two-factor authentication (2FA) codes. You are responsible for all activities that occur under your account. You agree to notify GTX immediately of any unauthorized use. GTX is not liable for any loss you may incur as a result of someone else using your password or account, either with or without your knowledge, unless such loss is the direct result of our gross negligence.
6. User Obligations and Prohibited Conduct
You agree to use the Platform only for lawful purposes and in compliance with these Terms. You will not:
Engage in any activity that could harm, disable, or impair the Platform.
Use any automated means to access the Platform for any purpose without our express written permission.
Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems.
Engage in market manipulation, wash trading, or any other deceptive or fraudulent activity.
7. Fees and Payments
GTX may charge fees for its Services. All applicable fees will be disclosed to you prior to the execution of a transaction. All payments are final and non-refundable.
8. Intellectual Property
iWave Advanced Research Group, Inc. and its licensors own all rights, titles, and interests in the Platform and its content. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal or internal business purposes, subject to these Terms.
9. Disclaimers
No Professional Advice: GTX is a technology platform only. We do not provide investment, financial, legal, tax, or any other form of professional advice. All information on the Platform is for informational purposes only. You must consult with your own professional advisors before making any investment decisions.
No Endorsement: The listing of any Digital Asset, RWA, or Listed Project on the Platform does not constitute an endorsement, recommendation, or solicitation by GTX.
No Guarantees: GTX does not guarantee the value, performance, or liquidity of any asset. The value of investments can go down as well as up, and you may lose your entire investment. Past performance is not an indicator of future results.
10. Philippines FIV Specific Terms
GTX provides no guarantee that any asset acquired or locked through the Platform will satisfy the requirements of the Philippines FIV program or that your visa application will be approved. The FIV application and its outcome are solely between you and the relevant Philippine government agencies. GTX is not liable for the outcome of your FIV application or any changes in Philippine law or regulations.
11. Comprehensive Risk Disclosure and Assumption of Risk
By using the GTX Platform, you acknowledge, understand, and expressly agree to the following:
Inherent Risk of Digital Currencies and Technology: The use of Digital Assets, cryptocurrencies, stablecoins (USDC, USDT), smart contracts, and blockchain-based systems is inherently risky. These are new and evolving technologies that may be subject to bugs, malfunctions, hacks, cyber-attacks, or changes in protocol rules (i.e., "forks"). You accept all risks associated with the use of these technologies, including the risk of total loss.
Wallet Security is Your Responsibility: You are solely responsible for securing the private keys to your personal digital wallets. Loss of your private keys will result in the permanent and irreversible loss of your Digital Assets. GTX does not have access to and cannot recover your private keys.
Investment Risk: All investment activities carry risk. The value of Digital Assets and tokenized RWAs is highly volatile and can fluctuate dramatically. There is no guarantee of profit, and you are at risk of losing the entire principal amount of your investment. Past performance is not an indicator of future results.
No Insurance: Digital Assets held on the Platform are not protected by any government-backed insurance (such as FDIC or SIPC).
Regulatory Uncertainty: The legal and regulatory landscape for digital assets is uncertain and constantly evolving. Changes in laws or regulations in any jurisdiction could materially and adversely affect the use, transfer, exchange, and value of your assets and your ability to use the Platform.
Liquidity Risk: There may be no active or liquid market for the Digital Assets you purchase, which may prevent you from being able to sell them when you wish or at a favorable price.
Third-Party and Counterparty Risk: Investments in Listed Projects are subject to the risks of the specific project, its management, and its business model. GTX does not vet or guarantee the performance of any third-party project issuer.
Assumption of Liability: You expressly acknowledge that you are solely responsible for assessing the risks of any transaction or investment you make on the Platform. You agree that you are using the Platform at your own risk and that you assume full responsibility and liability for all outcomes and losses resulting from your use of the Platform, including all investment decisions. You agree to hold iWave Advanced Research Group, its affiliates, directors, employees, and agents harmless from any and all losses, damages, or claims arising from your use of the Platform.
12. Anti-Money Laundering (AML) Compliance
GTX maintains a strict AML and Counter-Financing of Terrorism (CFT) program. We reserve the right to freeze, seize, or block access to funds and accounts and to report suspicious activities to law enforcement authorities as required by law.
13. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall iWave Advanced Research Group or its affiliates be liable for any indirect, special, incidental, consequential, or exemplary damages of any kind (including, but not limited to, loss of revenue, income, or profits; loss of use or data; or damages for business interruption) arising out of or in any way related to the use of the Platform, regardless of the form of action.
14. Indemnification
You agree to indemnify, defend, and hold harmless iWave Advanced Research Group and its affiliates from any and all claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Philippine Dispute Resolution Centre Inc. (“PDRCI”) in accordance with the Arbitration Rules of the PDRCI ("Arbitration Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The dispute shall be determined by a sole arbitrator that shall be appointed in accordance with the Arbitration Rules from a person who is experienced in the matters subject of this Agreement. The language of the arbitration shall be English. The proceedings shall be conducted in Metro Manila.
16. Modifications to Terms
GTX reserves the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Effective Date" at the top of these Terms. Your continued use of the Platform after such a change constitutes your acceptance of the new Terms.
